Popular vote on this forum is for the 3940, as its dial is more symmetrical (no smaller date numbers), and the case somewhat finer.  Funny tho, how the "smashed" date numbers and the 5140 case don't bother 5140P or 5550 owners.  Go figure.

Other votes come in for the dore dial on the 3940, but I suspect that has more to do with fact that Mr Stern Senior happened to have been photographed wearing one (and the crowd tends to follow) , than it does to how it looks (I think it's blingy).  Mr Stern's taste and yours might not be the same!!!

Advice?  The watches are pretty much mechanically identical.  So it's all down to aesthetics.

And, other people's opinion on aesthetics are not relevant, and tend to be herd driven. 

It's what works for you that's important. 

There's plenty of both references around (5140 run was much shorter, but you even now can buy a new 5140P with the grey dial) - have a look at both, decide which one speaks to you, and go for it.

Don't see how you can go wrong if you follow your own taste.
