My personal choice

My personal choice, so it may not be yours, would be to go for the 5040R over the 5396!
I love the 5396, but a perpetual calendar is more fascinating.
The calibre 240 is also IMO more interesting than the 324.
Finally I love the 5040 case. I like it a lot in rose gold, and even more with black dial (only in white metels I think).
A 5040R with black dial should be awesome but I don't think they make it.
I can' t afford any anyway, but if you can really choose, you don't need an annual calendar when you have a perpetual calendar. The contrary may not be true! 
So unless you're in love with the 5396 style....
